Welcome to Vibe (the “Platform”). Vibe is a digital platform operated by Visit Tri-Valley (“VTV,” “we,” “us,” or “our”) and developed and supported by Flip2Media, the platform’s technology provider. By accessing or using Vibe, you agree to these Terms of Use (“Terms”). If you do not agree, please do not use the Platform.


1. About the Platform

Vibe provides community, destination, and experience-related content, including articles, listings, events, media, and user-submitted content (collectively, the “Services”). We may update or change the Platform at any time.


2. Eligibility & Accounts

You may use parts of the Platform without creating an account. Some features may require registration.

You agree to:

  • Provide accurate information

  • Keep your login credentials secure

  • Use the Platform only for lawful purposes

You are responsible for all activity under your account.


3. Acceptable Use

You agree not to use Vibe to post, upload, share, or distribute content that:

  • Is unlawful, defamatory, abusive, obscene, or hateful

  • Infringes intellectual property or privacy rights

  • Is misleading, fraudulent, or impersonates others

  • Contains malware, spam, or automated scraping tools

We reserve the right to remove content or restrict access at our discretion.


4. User Content & License

You retain ownership of content you submit (“User Content”). However, by submitting content to Vibe, you grant Visit Tri-Valley and Flip2Media a non-exclusive, royalty-free, worldwide license to host, display, reproduce, modify, distribute, and promote that content in connection with the Platform and related marketing.

You confirm that:

  • You own or have permission to use the content

  • Your content does not violate any laws or third-party rights

We are not responsible for User Content posted by others.


5. Intellectual Property

All Platform content, design, branding, software, and features are owned by or licensed to Visit Tri-Valley and/or Flip2Media and are protected by intellectual property laws.

You may not copy, distribute, modify, or use Platform content for commercial purposes without prior written permission.


6. Third-Party Content & Links

Vibe may include links to third-party websites or content. We do not control or endorse third-party content and are not responsible for its accuracy or availability.

Your interactions with third parties are solely between you and them.


7. Disclaimers & Limitation of Liability

The Platform is provided “as is” and “as available.” We make no warranties regarding accuracy, availability, or reliability.

To the fullest extent permitted by law:

  • Visit Tri-Valley and Flip2Media are not liable for indirect, incidental, or consequential damages

  • Your use of the Platform is at your own risk


8. Indemnification

You agree to indemnify and hold harmless Visit Tri-Valley, Flip2Media, and their respective officers, employees, partners, and contractors from any claims arising from:

  • Your use of the Platform

  • Your content

  • Your violation of these Terms or applicable law


9. Termination

We may suspend or terminate access to the Platform at any time, with or without notice, if we believe these Terms have been violated.


10. Privacy

Your use of Vibe is subject to our Privacy Policy, which explains how we collect and use information.


11. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.


12. Changes to These Terms

We may update these Terms from time to time. Continued use of the Platform after changes means you accept the updated Terms.
